1. Introduction 

Welcome to Bonnell Electric Limited (“Bonnell”,"we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website ridebonnell.com ("Website") and the purchase of our electric bicycles and electric dirt bikes, including accessories and parts, ("Products"). By accessing or using our Website and purchasing our Products, you agree to comply with and be bound by these Terms. 

2. Eligibility 

By using this Website and purchasing our Products, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are under 18, you may use the Website only with the involvement of a parent or guardian. 

 3. Orders 

3.1. Order Acceptance: All orders placed through the Website are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason. 

3.2. Order Confirmation: After placing an order, you will receive an email confirmation. This email confirms that we have received your order but does not guarantee acceptance of your order. 

3.3. Order Cancellation  

Cancellation by Us: We reserve the right to cancel orders at any time and refund any payments made. 

Cancellation by User: When you purchase a Bonnell bike online through our sales partner, Ekho, we understand you’re making a commitment without seeing or riding the bike first. Because of that, cancellations and refunds are available under the following conditions: 

Ekho Orders: To request a cancellation or refund, please contact Ekho at support@ekhodealer.com. 

Financed Offers: Once you’ve accepted a financing offer, your purchase may no longer be eligible for a refund. 

Ekho Purchase Agreement: Refunds are no longer available once the Ekho Purchase Agreement has been signed. 

3.4 Pricing and Availability: All prices are listed in USD and are subject to change without notice. Product availability is not guaranteed. 

4. Payment 

4.1. Payment Methods: We accept various payment methods, including credit cards, debit cards, ACH as well as have partnered with Ekho to provide financing options.  

4.2. Tax and Duties: Prices listed on the Website do not include taxes, duties, or any other charges applicable in your region. Depending on your location, taxes will be calculated and added at checkout. For international orders, the applicable Incoterms (DDP or DAP) will determine whether taxes and duties are included in the total price. Our current stance is to provide Delivered Duty Paid (DDP) service where feasible. Please check the specific terms at checkout for your region. 

4.3. Gift Cards: Sales of gift cards are final and non-refundable. 

4.4. Deposits: A non-refundable deposit may be required upfront to secure your order. The deposit is only refundable if we cancel the order. The deposit will be clear against the final payment of the order. When your electric motorbike is ready for shipment, we will contact you to settle the final payment. When the payment is received by Bonnell, the order will be shipped to the agreed shipping address. Ownership of the electric motorcycle/vehicle is transferred to the buyer after full payment of the purchase price. Warranty is also only valid after full payment of the purchase price. 

4.5. Final Balance: The final balance must be paid within ten (10) days of receiving confirmation of product readiness. Failure to pay within this timeframe will result in order cancellation unless otherwise mutually agreed upon. 

4.6. Full Payment Before Delivery: Products will not be delivered until full payment is received. The warranty will be triggered upon delivery of the Product. 

5. Shipping and Delivery 

5.1. Shipping: We offer shipping within the continental USA. Shipping costs and estimated delivery times will be provided at checkout. 

5.2. Delivery: Shipping is provided by a 3rd party service. We are not responsible for delays caused by the carrier or customs. Risk of loss and title for Products pass to you upon delivery to the carrier. 

6. Returns and Refunds 

6.1. Return Policy: We do not accept refunds at this time. If you experience any issues with your Bonnell product, please contact the Bonnell customer service team, and we’ll make sure you get the support you need. 

7. Warranties and Disclaimers 

7.1. Product Warranty: Our Products come with a limited warranty against manufacturing defects for a period of 24 months from the date of shipment, applicable to the original owner only. This warranty covers factory-made vehicles purchased through authorized channels and does not cover the following: 

Battery Packs: The battery packs are warranted for 12 months from the original shipment date, the date of purchase through a retailer, or 500 hours of use, whichever comes first. The battery warranty applies in cases where the battery exhibits a nominal storage capacity reduction of greater than 30% of the published nominal capacity. 

Warranty Exclusions: The warranty does not apply in the event of crashes, damages, abuse, neglect, carelessness, or using the product in any way other than intended. It also does not apply to normal wear and tear components, including but not limited to drive chains, drive belts, seats, grips, rims, lights/lamps, tires, brake levers, bearings, etc. The warranty will be null and void if the product is modified in any way and/or continued to be used with damaged/defective parts caused by damage, neglect, crashes, etc. 

7.2. Maintenance and Use: The warranty does not cover damages or defects resulting from: 

Lack of proper maintenance or care. 

Misuse of the vehicle. 

Modifications, alterations, and installation of parts that are not genuine parts or supplied as original equipment. 

Damages due to accidents, collisions, abuse, or neglect. 

Normal wear and tear. 

Damages to paint, coatings, or corrosion of metal parts due to external influences such as stones, salt, or inadequate cleaning with improper cleaning products. 

Fading of painted or metal-coated surfaces. 

Negligence on the part of the customer or faulty storage of the vehicle. 

7.3. Claim Process: To file a warranty claim, the owner must notify us within 10 days of discovering the defective part. Proof of purchase, pictures to support the claim, and any other relevant information must be provided. Warranty claims can be submitted online. 

7.4. Disclaimer: Except as expressly stated in these Terms, the Products and Website are provided "as is" without warranties of any kind, either express or implied. 

7.5. Limitations: The warranty does not cover any costs unrelated to the actual bike fix, such as towing services, shipping, roadside assistance, mechanic fees, or any loss/damage to persons or personal property. 

8. Limitation of Liability 

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses arising from your use of the Website or Products. 

9. Intellectual Property 

9.1. Ownership: All content on the Website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Bonnell or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. 

9.2. Trademarks: Bonnell, Tuned for Epic, and other marks indicated on our Website are trademarks or registered trademarks of Bonnell in USA, Canada, Hong Kong, China, and other jurisdictions. Bonnell's trademarks and trade dress may not be used in connection with any product or service that is not Bonnell's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Bonnell. 

9.3. License and Access: Subject to your compliance with these Terms, Bonnell grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the Website. This license does not include any resale or commercial use of the Website or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Website or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools. 

9.4. Restrictions: You must not reproduce, duplicate, copy, sell, resell, visit, or otherwise exploit any portion of the Website for any commercial purpose without express written consent from Bonnell. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Bonnell without express written consent. You may not use any meta tags or any other "hidden text" utilizing Bonnell's name or trademarks without the express written consent of Bonnell. 

9.5. Feedback and Improvements: By providing feedback, suggestions, or ideas ("Feedback") to Bonnell, you agree that such Feedback is non-confidential and non-proprietary and shall become the sole property of Bonnell. We shall own all rights, including intellectual property rights, to any improvements or modifications made to our Products or services as a result of such Feedback. You hereby assign and agree to assign any rights you may have in such Feedback to Bonnell, and agree to execute any documents necessary to effect such assignment. 

10. Product Specifications and Availability 

10.1. Changes to Products: We reserve the right to modify the details, specifications, availability, and pricing of our Products at any time without prior notice. This includes, but is not limited to, design changes, feature enhancements, or other adjustments that may improve the Product. 

10.2. Product Availability: All Products are subject to availability, and we cannot guarantee that any Product will be in stock at any given time. We reserve the right to limit the quantity of Products we supply, supply only part of an order, or to divide orders for shipment. 

10.3. Website Accuracy: While we strive to provide accurate information on our Website, there may be occasions where certain information, including product descriptions, pricing, and availability, may be incorrect or incomplete. 17. Right of Refusal.  

Bonnell reserves the right to refuse to sell Products to anyone for any reason, in its sole discretion. 

18. Not for Resale.  

Products purchased are intended for the end-user only and are not for resale. Bonnell is entitled to cancel any order they deem is or may be sold for resale purposes. 

19. Exclusivity.  

The parties’ rights, liabilities, responsibilities and remedies with respect to the Products shall be exclusively those expressly set forth in these Terms. The waivers, releases, limitations on liability and on remedies expressed in these Terms shall apply even in the event of the default, negligence, breach of contract, strict liability, of the party released or whose liability is limited and shall extend to their directors, officers, and employees. 

20. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Website following any changes indicates your acceptance of the new Terms.
